Terms of Use

1. The Service

The Service is a stock journal: you can record why you bought or are watching a stock and its price at the time, set take-profit, stop-loss and periodic review rules, and review price changes and receive reminders after the market closes. The Service uses closing prices only; it does not provide real-time quotes or order execution.

2. Not investment advice

Prices, percentage changes, technical indicators, official filings and reminders shown in the Service are calculated or presented solely from public data and the rules you set, to help you record and review your own decisions. We are not an investment adviser, and nothing in the Service constitutes investment advice, a recommendation or a guarantee. Investing involves risk, and you are solely responsible for your investment decisions and their outcomes.

3. Data sources and accuracy

Taiwan closing prices and historical data come from open data published by the Taiwan Stock Exchange and the Taipei Exchange (used under the Open Government Data License), and US data comes from Alpaca. We work to keep data accurate and timely, but it may be delayed, revised, unavailable during market holidays or affected by system issues, and we do not guarantee that it is complete, accurate or uninterrupted. Please rely on official exchange or broker data for important decisions.

4. Your account

• You need to sign in with Apple or Google to use the Service, and you are responsible for keeping your device and sign-in account secure.
• If Apple and Google provide the same verified email address, both sign-in methods lead to the same account. If they cannot be matched (for example when you use Apple's Hide My Email), separate accounts are created, and records and subscription entitlements are not shared between them.
• You can delete your account at any time from the Account screen in the app; your account and all records will be permanently deleted and cannot be recovered. Deleting your account does not cancel an App Store subscription; please cancel it separately in your Apple account.

5. Free plan and paid subscription

• The free plan limits how many active entries you can keep at the same time, as shown in the app. The paid subscription (StockNote annual plan) allows unlimited tracking, at the price shown on the App Store purchase screen.
• Payment is charged to your Apple account when you confirm the purchase.
• The subscription renews automatically unless auto-renew is turned off at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the end of the current period.
• You can manage or cancel your subscription at any time after purchase in iPhone Settings > Apple Account > Subscriptions. After cancellation, your benefits continue until the end of the current period.
• Payments, refunds and receipts are handled by Apple under its policies; please request refunds through Apple.
• When a subscription expires or is cancelled, your most recently created active entries (up to the free plan limit) remain available. Older active entries are temporarily locked: you cannot view them and they do not trigger reminders, but their data is kept. Exited entries are not affected. When you exit or delete newer entries, older ones unlock in order, and everything is restored if you subscribe again.
• We may change plan features or prices; price changes will be notified in advance as required by the App Store and will only apply from your next renewal.

6. Your content

You keep the rights to the entries, reasons, notes and other content you create in the Service. You allow us to store, process and display that content as needed to provide the Service, for example to sync it between your devices and the website and to generate reminders based on your rules. We do not publish your content or use it for any purpose other than providing the Service.

7. Prohibited conduct

When using the Service, you must not:

• access, scrape or resell data or content from the Service in bulk using automated means;
• interfere with, disrupt or attempt to gain unauthorized access to the Service, other users' accounts or our systems;
• reverse engineer, decompile or disassemble the Service, except where expressly permitted by law;
• use the Service for any unlawful purpose or in a way that infringes the rights of others.

8. Changes, suspension and termination

We may change, suspend or discontinue all or part of the Service for maintenance, improvement or legal reasons, and will give advance notice where possible. If you violate these Terms, we may suspend or terminate your account. If we discontinue the entire Service, we will notify you in advance so you have time to handle your data.

9. Limitation of liability

The Service is provided as is. To the extent permitted by law, we are not liable for any loss arising from your use of or inability to use the Service, errors or delays in data, undelivered reminders, or investment decisions you make based on the Service. Where liability cannot be excluded, our total liability is limited to the amount you actually paid for the Service in the twelve months before the event. Nothing in these Terms excludes liability that cannot be excluded under applicable consumer protection laws.

10. Apple platform users

If you download the StockNote iOS app from the App Store, Apple's Licensed Application End User License Agreement also applies: https://www.apple.com/legal/internet-services/itunes/dev/stdeula/. Where the two conflict regarding the license to use the app, Apple's standard agreement prevails.

11. Changes to these Terms

We may update these Terms when the Service or applicable laws change. Updates will be posted on this page with a new effective date, and we will notify you in the app or on the website of any material changes. By continuing to use the Service after changes take effect, you agree to the updated Terms.

12. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of China (Taiwan). Any dispute arising from these Terms or the Service shall be submitted to the Taiwan Tainan District Court as the court of first instance, unless mandatory law provides otherwise.
